FRACTIONALS COMMUNITY – TERMS OF SERVICE

These Terms of Service (“Terms,” “Agreement”) govern your use of the Fractionals Community, including any website, forum, group, dashboard, posts, or communication channels located at fractionals.community, its associated Skool community, and any related online platform (“the Community”). The Community is owned and operated by Jennifer L. Todd (“Host,” “we,” “us,” or “our”), located at:

By joining, accessing, or participating in the Community, you agree to these Terms.
If you do not agree, you must not join or must immediately leave the Community.
1. PURPOSE OF THE COMMUNITY
Fractionals Community is a referral-focused professional network for B2B Fractional service providers (including but not limited to Fractional CMOs, COOs, CIOs, CFOs, CTOs, Integrators, Controllers, VAs, and Strategy or Operations advisors) who serve mid-market clients.
The Community exists solely to:
• Facilitate peer-to-peer introductions and referrals
• Encourage collaboration between independent Fractional professionals
• Provide a respectful, inclusive space for knowledge-sharing
The Community does not provide professional advice, client-matching, business vetting, or endorsement of any member.
2. MEMBERSHIP QUALIFICATIONS
To join the Community, you must:
• Be actively engaged in business as a Fractional service provider
• Be eighteen (18) years of age or older
• Agree to the behavioral rules posted within the Community
Host reserves the right to approve, deny, or remove any member at any time, for any reason or no reason.
Membership fees, when applicable, are non-refundable.
3. HOST IS NOT A PARTY TO MEMBER INTERACTIONS
All referrals, introductions, collaborations, business engagements, and communications between members occur solely between those members.
You acknowledge and agree that:
• Host does not broker, guarantee, evaluate, or supervise any referrals
• Host is not responsible for verifying member credentials, competence, legality, or fitness for a particular engagement
• Host does not participate in and does not receive payment for referrals
• No referral, interaction, or introduction is an endorsement by Host
You assume full responsibility for verifying the suitability of any fractional provider or client before engaging in business.
4. PROHIBITED CONDUCT
You may not:
• Spam, solicit, or mass-message other members
• Post misleading, defamatory, obscene, discriminatory, or unlawful content
• Misrepresent your services, experience, or identity
• Engage in harassment or disruptive behavior
• Use the Community to collect emails or data for marketing without consent
• Disparage or malign any member, the Host, or any individual associated with the Community
• Upload malware, malicious code, or attempts to compromise the platform
Violation of these rules may result in immediate removal without refund.
5. NON-DISPARAGEMENT
You agree that you will not engage in any conduct or communication—public or private—that is intended, or could reasonably be expected, to:
• Harm another member’s reputation
• Impugn their integrity, capability, or character
• Create unfavorable publicity
• Undermine the professional standing of any member or the Host
This provision applies to all mediums, including posts, comments, messages, emails, and off-platform discussions that arise from Community participation.
6. DIVERSITY, EQUITY, INCLUSION, AND MEMBER CONDUCT
The Community is committed to maintaining a respectful, inclusive environment welcoming to individuals of all identities, including race, ethnicity, gender, sexuality, age, religion, ability status, and socioeconomic background.
The following are strictly prohibited:
• Hate speech
• Discriminatory comments or behaviors
• Derogatory statements toward under-represented or marginalized groups
• Harassment or intimidation
Host may remove any member whose conduct violates these principles, whether the conduct occurs within the Community or in interactions related to it.
7. MEMBER CONTENT + LICENSE GRANT
If you post content (comments, files, messages, resources), you represent that:
• You own or have permission to post the content
• The content complies with these Terms
• You grant Host a non-exclusive, worldwide license to display and store the content inside the Community
Host may remove any content at any time, for any reason, without notice.
8. CONFIDENTIALITY
Members may share proprietary, sensitive, or business-related information in discussions.
By participating, you agree to protect the confidentiality of:
• Non-public business information shared by members
• Internal processes, strategies, documents, or client details
• Sensitive discussions related to client experience or business operations
You may not disclose, copy, or share confidential information outside the Community.
This provision incorporates the confidentiality principles found in the Nondisclosure and Confidentiality Agreement template you provided.
9. NO PROFESSIONAL ADVICE
The Community does not provide:
• Business, tax, legal, HR, accounting, marketing, or financial advice
• Client acquisition services
• Any professional service requiring licensure
Nothing in the Community creates:
• A professional-client relationship with Host
• A partnership or joint venture
• Any fiduciary obligation
Members must consult their own professional advisors.
10. DISCLAIMER OF WARRANTIES + LIMITATION OF LIABILITY
To the fullest extent permitted by law:
• The Community is offered “as-is” without warranties of any kind
• Host does not guarantee uninterrupted or error-free service
• Host disclaims all liability for member conduct, referrals, transactions, or outcomes
• Host is not responsible for disputes, losses, damages, or claims arising between members
• Your sole remedy for dissatisfaction is to discontinue participation
You assume all risks associated with your participation and interactions.
11. LINKS, THIRD-PARTY TOOLS, AND MEMBER WEBSITES
The Community may include external links.
Host is not responsible for:
• Content on third-party websites
• Outcomes from engaging third-party tools or services
• Member websites, services, or representations
You use external resources at your own risk.
12. RELEASE OF LIABILITY
You release Host from:
• Any claims arising from your participation in the Community
• Any claims relating to member referrals, business dealings, or disputes
• Any claims of defamation, invasion of privacy, or intellectual property infringement arising from your participation
13. FORCE MAJEURE
Host is not liable for delays or failures arising from events outside Host’s control, including natural disasters, pandemics, government actions, or technology outages.
14. GOVERNING LAW + DISPUTE RESOLUTION
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules.
Any dispute shall be brought exclusively in state or federal courts closest to:

No class actions are permitted.
The prevailing party is entitled to attorneys’ fees and costs.
15. MODIFICATIONS
Host may update or modify these Terms at any time.
Changes take effect when posted inside the Community or on fractionals.community.
Continued participation constitutes acceptance of the updated Terms.
